VENDIXS – TERMS OF SERVICE Effective Date: June 14, 2026 By accessing or using the Vendixs platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. ────────────────────────────────────────────── 1. DEFINITIONS - "Service" means the Vendixs software-as-a-service platform, including the web application, mobile application, and APIs. - "Business Owner" means an individual or entity that registers a business account on the Service. - "Staff" means users invited by a Business Owner to access the Service under that business account. - "Super Admin" means authorized administrators of the Vendixs platform responsible for platform operations. - "Subscription" means a paid or trial plan granting access to the Service. - "Vendor" means a business using the Vendor/Wholesale module to list products and receive B2B orders. - "Buyer" means a business or individual using the platform to discover vendors and place wholesale orders. ────────────────────────────────────────────── 2. ELIGIBILITY You must be at least 18 years of age to use this Service. By using the Service, you represent that all information you provide is accurate and complete, and that you have the legal authority to bind the business or organisation you represent. ────────────────────────────────────────────── 3. ACCOUNT REGISTRATION - Business Owners must register with a valid email address and a secure password. - You are solely responsible for maintaining the confidentiality of your login credentials. - You may invite Staff members to your business account. You are responsible for all actions taken under your account, including actions by your Staff. - Notify us immediately at support@vendixs.com if you suspect unauthorised access to your account. - Each business operates as an isolated account — you may not access or attempt to access another business's data. ────────────────────────────────────────────── 4. TRIAL PERIOD - New business accounts receive a 14-day free trial upon registration. - During the trial, certain limits apply including maximum number of products, staff members, and branches. - No payment information is required to start a trial. - At the end of the trial period, access to the Service is suspended until a paid subscription is activated. - Vendixs reserves the right to modify trial duration or limits at any time. ────────────────────────────────────────────── 5. SUBSCRIPTIONS AND PAYMENTS - Plans: The Service is offered on monthly and annual subscription plans. Plan details are displayed within the platform. - Pricing: Current pricing is available on the platform and may change with 30 days' prior notice. - Billing: Subscriptions are billed in advance for the selected period. All fees are in Pakistani Rupees (PKR) unless otherwise stated. - Non-Refundable: Subscription fees are non-refundable except where required by applicable law. - Cancellation: You may cancel your subscription at any time. Access continues until the end of the current paid billing period. - Suspension: Accounts with overdue or unpaid subscriptions may be suspended until payment is received. Data is retained during suspension for up to 30 days. ────────────────────────────────────────────── 6. PERMITTED USE You may use the Service only for lawful business purposes in accordance with these Terms and applicable Pakistani law. You agree not to: - Reverse engineer, decompile, copy, or attempt to extract the source code of the Service. - Resell, sublicense, or offer the Service as your own product or service. - Store, transmit, or process unlawful, harmful, defamatory, or fraudulent data through the platform. - Attempt to gain unauthorised access to the platform, other business accounts, or Vendixs systems. - Interfere with or disrupt the integrity, performance, or availability of the Service. - Use automated scripts, bots, or tools to scrape, extract, or harvest data from the Service. - Introduce viruses, malware, or other harmful code into the platform. ────────────────────────────────────────────── 7. BUSINESS DATA AND ISOLATION - Each business account operates in complete data isolation. Your data is inaccessible to other business accounts on the platform. - You retain full ownership of all business data you enter into the Service — including customers, products, orders, employees, and other records. - Vendixs does not sell, share, or exploit your business data for any purpose other than delivering and improving the Service. - You are responsible for the accuracy, legality, and completeness of the data you upload or enter into the platform. ────────────────────────────────────────────── 8. MODULES AND FEATURES The Service includes multiple modules and features. Availability depends on your subscription plan and the permissions assigned by the Business Owner: - Point of Sale (POS) & Billing - Inventory & Product Management - Customer Management & CRM - Repair Ticket & Job Card System - Restaurant Management (Table, Menu, Kitchen Display) - Medical Clinic Management (Appointments, Patient Records) - HR & Workforce Management (Attendance, Leave, Payroll, Claims) - Vendor / Wholesale B2B Marketplace - Document Management - Training & Courses - Internal Job Postings - Performance Reviews - Announcements & Task Management - Multi-Branch Management - Referral Program - Reports & Analytics - Mobile Application - Push Notifications Vendixs reserves the right to add, modify, or discontinue any module or feature at any time. Material changes will be communicated with reasonable notice. ────────────────────────────────────────────── 9. VENDOR / B2B MARKETPLACE - Vendors using the Wholesale module are responsible for the accuracy of their product listings, pricing, and availability. - Vendixs provides the platform infrastructure for connecting buyers and sellers but is not a party to any transaction between them. - All disputes regarding orders, payments, quality, or delivery are between the Buyer and the Vendor. Vendixs is not liable for such disputes. - Vendors and Buyers must ensure their use of the marketplace complies with all applicable Pakistani commercial and tax laws. - Vendixs reserves the right to remove listings or suspend accounts that violate these Terms or applicable laws. ────────────────────────────────────────────── 10. HR, PAYROLL & EMPLOYEE DATA - The HR & Workforce module may process sensitive employee data including attendance records, salary information, leave history, claims, and personal details. - Business Owners are responsible for ensuring they have obtained appropriate consent from their employees for the collection and processing of such data. - Vendixs processes this data solely on behalf of the Business Owner as a data processor and does not use it for any other purpose. - You must comply with applicable Pakistani labour laws and data handling obligations when managing employee data through the platform. ────────────────────────────────────────────── 11. INTELLECTUAL PROPERTY - The Vendixs platform, including its software, design, branding, and content, is owned by Vendixs and is protected by applicable intellectual property laws. - These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes. - You may not copy, modify, distribute, publicly display, or create derivative works based on the Service or any part of it. ────────────────────────────────────────────── 12. THIRD-PARTY INTEGRATIONS The Service may integrate with third-party services (e.g., payment processors, cloud services, notification providers). Your use of such third-party services is governed by their respective terms and privacy policies. Vendixs is not responsible for the actions, content, or data practices of third-party services. ────────────────────────────────────────────── 13. MOBILE APPLICATION The Vendixs mobile application is available for Business Owners and Staff. By using the mobile app, you agree to these Terms in addition to any applicable terms imposed by the app store through which you download the application (Apple App Store or Google Play Store). ────────────────────────────────────────────── 14. DATA SECURITY Vendixs implements industry-standard security measures to protect your data, including: - Encrypted data transmission using HTTPS/TLS protocols. - Passwords stored using secure one-way hashing — never in plain text. - Role-based access controls with granular permission settings. - Activity logs and audit trails for sensitive operations. - Regular security reviews and infrastructure monitoring. You are responsible for maintaining the security of your account credentials and for any activity that occurs under your account. Vendixs will notify you of a confirmed data breach that affects your personal data as required by applicable law. ────────────────────────────────────────────── 15. CONFIDENTIALITY You agree to keep confidential any non-public information you receive through or about the Service, including unreleased features, internal pricing structures, and platform roadmaps. ────────────────────────────────────────────── 16. DISCLAIMERS THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VENDIXS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF BUGS. YOU USE THE SERVICE AT YOUR OWN RISK. ────────────────────────────────────────────── 17. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VENDIXS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO VENDIXS IN THE 12 MONTHS PRECEDING THE CLAIM. ────────────────────────────────────────────── 18. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Vendixs, its team members, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you upload or process through the platform. ────────────────────────────────────────────── 19. TERMINATION - You may terminate your account at any time through your account settings. - Vendixs may suspend or permanently terminate accounts that violate these Terms, engage in fraudulent activity, or fail to maintain payment obligations. - Upon termination, your business data will be retained for up to 30 days and then permanently and irreversibly deleted. - Sections 7, 11, 15, 17, 18, and 20 of these Terms survive termination. ────────────────────────────────────────────── 20. CHANGES TO TERMS We may update these Terms periodically to reflect changes in the platform, our business, or applicable law. We will notify you of material changes via email or an in-platform notification at least 7 days before they take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. ────────────────────────────────────────────── 21. GOVERNING LAW AND DISPUTES These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.
